# MicroExtract SaaS Terms of Service **Approved for publication. Effective only when published as an approved version in MicroExtract.** These Terms of Service govern use of MicroExtract, a product offered by Micro AI Agency Singapore, a brand of WORKFLOW AUTOMATION PTE. LTD. (UEN 202633458D), 7 Temasek Boulevard, #12-07 Suntec Tower One, Singapore 038987. ## 1. Agreement By creating or using a MicroExtract account, purchasing a subscription, or accepting these Terms in the application, you agree to these Terms on behalf of yourself or the organisation you represent. If you use MicroExtract for an organisation, you confirm that you have authority to bind that organisation. An Enterprise Order Form, data processing agreement, service level agreement or other signed agreement may supplement these Terms. Where expressly stated, the signed agreement prevails over these Terms to the extent of any conflict. ## 2. The Service MicroExtract provides document intelligence and workflow capabilities that may include document upload, extraction, structured outputs, validation, exception handling, human review support, templates, API access and related features. Features, usage allowances and availability vary by plan. MicroExtract is intended to assist business workflows. Automated extraction, classification, validation and AI-generated results may contain errors. Customers remain responsible for appropriate review before relying on results for financial, regulatory, contractual, safety-critical or other consequential decisions. ## 3. Accounts and security You must provide accurate account information and protect your authentication credentials. You are responsible for activity performed through your authorised users, except to the extent caused by a security failure for which Workflow Automation Pte. Ltd. is legally responsible. You must notify us promptly if you reasonably suspect unauthorised access to your account. ## 4. Customer Content You retain ownership of documents, data, templates and other content that you or your users submit to the Service. You grant Workflow Automation Pte. Ltd. a limited, non-exclusive right to host, transmit, copy, transform and process Customer Content only as reasonably necessary to provide, secure, maintain and support the Service and to comply with law. You confirm that you have all rights and lawful authority required to upload and process Customer Content through the Service. ## 5. AI processing and model training MicroExtract may use third-party AI services to process Customer Content. Workflow Automation Pte. Ltd. will not use Customer Content to train or improve general-purpose or foundation AI models unless the customer separately and expressly agrees in writing. This does not prevent processing that is required to provide the requested Service, maintain security, detect abuse, troubleshoot incidents, satisfy legal obligations or generate customer-specific outputs. ## 6. Acceptable use You must not use the Service to: - violate applicable law or the rights of another person - upload content that you are not authorised to process - attempt to bypass authentication, rate limits, tenant isolation or security controls - interfere with the integrity or availability of the Service - probe or exploit vulnerabilities except through an authorised security programme - use the Service to distribute malware or carry out fraudulent or abusive activity - reverse engineer the Service except to the extent such restriction is prohibited by law We may suspend access where reasonably necessary to protect the Service, other customers, third parties or legal compliance. ## 7. Plans, usage and pricing Plan entitlements, page allowances, storage, supported formats, user limits, history windows and other limits are described in the applicable order, pricing page or application. Charges are in the currency stated at checkout or in the applicable Order Form. Taxes are handled as stated at checkout or on the relevant invoice and as required by law. Nothing in these Terms represents that Workflow Automation Pte. Ltd. is registered for a particular tax unless separately confirmed. ## 8. Subscriptions, renewal and cancellation Paid self-service subscriptions renew automatically for the selected monthly or annual billing period until cancelled. The recurring nature, price and billing interval should be shown before purchase. You may cancel through the available billing controls. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period and access continues until that date. ## 9. Refunds Except where required by applicable law, for a duplicate or incorrect charge, or where an express contractual remedy applies, payments are non-refundable after the applicable billing period begins. Nothing in this section limits mandatory rights that cannot lawfully be excluded. ## 10. Free Plan The Free Plan is provided subject to the published usage and feature limits. We may modify, restrict or discontinue a Free Plan on reasonable notice where practical. For the Free Plan, the aggregate liability of Workflow Automation Pte. Ltd. arising from or relating to the Service is limited to SGD 100, subject to applicable law and the non-excludable liabilities stated below. ## 11. Availability and support For standard self-service plans, we aim to operate the Service using commercially reasonable care but do not provide a contractual uptime or response-time service level unless expressly stated in a separate signed agreement. Enterprise customers may receive separately agreed support or service levels in an Order Form or SLA. ## 12. Intellectual property Workflow Automation Pte. Ltd. and its licensors retain all rights in the MicroExtract software, platform, workflows, interfaces, designs, documentation, service configuration and other technology, excluding Customer Content. No rights are granted except those expressly stated in these Terms. ## 13. Confidentiality Each party receiving non-public confidential information from the other must use reasonable care to protect it and use it only for the relationship contemplated by these Terms. Confidentiality obligations do not apply to information that is lawfully public, independently developed without use of confidential information, or lawfully received from a third party without confidentiality obligation. A party may disclose information where required by law, subject to legally permitted notice where appropriate. ## 14. Data protection Our processing of personal data is described in the MicroExtract SaaS Privacy Notice. Where Workflow Automation Pte. Ltd. processes personal data solely on behalf of a business customer, the parties may enter into a Data Processing Agreement. Customer-specific or Enterprise data-residency commitments apply only when expressly agreed in writing and technically validated. ## 15. Suspension and termination You may stop using the Service at any time and may cancel a paid subscription as described above. We may suspend or terminate access where reasonably necessary because of material breach, non-payment, unlawful use, security risk or legal requirement. Where practical and lawful, we will provide notice and a reasonable opportunity to cure a remediable breach. ## 16. Data export and deletion Customers may submit account-data export and deletion requests through the available account controls. Deletion requests are verified and approval controlled. They do not cause immediate destructive action. Our operational target is to complete a valid verified deletion request from active systems within 30 days, subject to legal retention requirements, security investigations, disputes, legal holds and the documented backup lifecycle. Details are provided in the Retention and Deletion Policy. ## 17. Disclaimers To the maximum extent permitted by law, the Service is provided on an as-available basis and we do not warrant that every extraction, classification, validation or generated output will be complete or error-free. Nothing in these Terms excludes warranties or obligations that cannot lawfully be excluded. ## 18. Limitation of liability To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special or consequential loss, or loss of profits, revenue, goodwill or anticipated savings, except to the extent such exclusion is prohibited by law. For a paid self-service plan, the aggregate liability of Workflow Automation Pte. Ltd. arising from or relating to the Service is limited to the fees paid by the customer for the Service during the 12 months immediately preceding the event giving rise to the claim. For the Free Plan, the aggregate liability cap is SGD 100. Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence where applicable, fraud or fraudulent misrepresentation. ## 19. Indemnity To the extent permitted by law, you are responsible for third-party claims arising from Customer Content or use of the Service that violates these Terms or another person's rights, except to the extent the claim results from our breach of these Terms or applicable law. ## 20. Changes We may update these Terms to reflect changes in the Service, law, security or business operations. Where a change materially reduces customer rights or materially increases obligations, we will provide reasonable notice where practicable. The effective version will be identified in the Service. ## 21. Governing law and disputes These Terms are governed by the laws of Singapore. The courts of Singapore have jurisdiction over disputes arising from or relating to these Terms, unless a separate signed Enterprise agreement expressly provides another dispute-resolution mechanism. ## 22.
